Terms & Conditions

By downloading, installing, or using Zapnin (“the App”), you agree to be bound by these Terms & Conditions (“Terms”). These Terms constitute a legally binding agreement between you and Pivot & Anchor Pvt Ltd (“we”, “us”, “our”), operating the Zapnin application. If you do not agree to these Terms, do not use the App.

Zapnin is a mobile application that helps groups of friends propose, coordinate, and commit to social plans. The service includes:

• Plan creation with configurable details (title, date, time, location, headcount threshold, and response deadline)
• Structured responses — In, Out, or Maybe — including conditional “Maybe” responses
• A group chat for each plan, with messages, reactions, and shared photos and videos
• Collaborative venue suggestions, voting, and availability coordination
• Expense splitting with optional one-tap settlement through your own UPI app
• Push and SMS notifications to keep participants informed
• Scheduling-conflict detection across your overlapping plans

Zapnin is a coordination tool, not a guarantee that any plan will occur. Plan outcomes depend on participant responses and real-world circumstances beyond our control.

You must be at least 18 years of age to create an account and use Zapnin. By using the App, you represent and warrant that you meet this age requirement and that the information you provide is accurate.

• Your phone number serves as your primary account identifier
• Account creation and sign-in require SMS one-time-password (OTP) verification
• You must provide accurate information and keep it up to date
• Only one account is permitted per phone number
• You are responsible for maintaining the security of your account and for all activity that occurs under it

Planner Controls

The person who creates a plan (the “Planner”) sets the plan title and invitees, and may optionally set the date, time, location, a minimum number of “In” responses required, and a response deadline.

Participant Responses

Participants respond with In, Out, or Maybe. A “Maybe” may be made conditional on specific people attending; if those conditions are met, the response may automatically become “In” (you can enable or disable this in Settings). Participants are notified when their status changes and may update their response until the plan is locked or the deadline passes.

“User Content” means anything you create or upload through the App, including plan details, chat messages, photos, videos, expense entries, and venue suggestions. You retain ownership of your User Content. By submitting it, you grant us a limited, non-exclusive, royalty-free license to host, store, process, display, and transmit that content solely to operate and provide the service to you and the other participants of your plans.

You are solely responsible for your User Content. You represent that you own or have the necessary rights to it, that it does not infringe anyone’s rights, and that it complies with these Terms and applicable law. You must not upload photos or personal information of other people without their consent.

You agree not to:

• Use Zapnin for any unlawful purpose or in violation of any applicable law
• Harass, abuse, threaten, defame, or stalk other users
• Post or share content that is obscene, hateful, discriminatory, sexually explicit, violent, or otherwise objectionable
• Upload content that infringes intellectual-property, privacy, or publicity rights
• Send spam, or invite people you do not personally know
• Upload malware, or attempt to disrupt, overload, or gain unauthorised access to the App or our systems
• Reverse engineer, decompile, or disassemble the App
• Create multiple accounts, impersonate another person, or misrepresent your affiliation

We may remove content or suspend accounts that violate these rules. We do not actively pre-screen User Content but may review and act on reports of violations.

Zapnin lets you record shared expenses and split them among participants, and offers an optional shortcut to settle via a third-party UPI app. Zapnin is not a payment processor, bank, wallet, or financial institution, and does not hold, transfer, or collect money. Any actual payment occurs entirely within your chosen third-party UPI application and is subject to that provider’s terms.

Expense amounts, splits, and settlement statuses are recorded by participants and may be marked as paid manually. We do not verify whether a payment was actually made. You are solely responsible for the accuracy of expense entries and for resolving any payment disputes among yourselves.

We are not liable for any error, delay, loss, or dispute arising from a UPI or other payment made between users.

We send OTP messages to verify your phone number, and — when you invite someone who does not have Zapnin — SMS invitations and related updates on your behalf. By inviting non-app users, you represent that:

• You have a personal relationship with the recipient, and
• The recipient would reasonably expect to receive a plan invitation from you.

You must not use the invitation feature to contact strangers or send unsolicited messages. We rate-limit these messages and may restrict the feature if it is misused.

The App, including its software, user interface, design, and brand assets, is owned by Pivot & Anchor Pvt Ltd and protected by intellectual-property laws. Except for your own User Content, you may not copy, modify, distribute, sell, or lease any part of the App, nor reverse engineer or attempt to extract its source code.

The App relies on and links to third-party services, including UPI payment apps, map and venue providers (Google, Apple), SMS and push-notification providers, and the Apple App Store and Google Play. We are not responsible for the availability, accuracy, content, or practices of those third parties, and your use of them is governed by their own terms and privacy policies. Venue data (such as that from Google Places) may be inaccurate or out of date.

Your privacy is important to us. Please review our Privacy Policy for detailed information about how we collect, use, store, and protect your personal data, including how we handle contacts, location, media, SMS communications, and account deletion.

You may delete your account at any time from Settings → Delete account. Deletion is immediate and irreversible: your personal identifiers are erased, and your contributions to shared plans are anonymised (attributed to “Deleted User”) so that other participants’ records remain intact. We reserve the right to suspend or terminate your account if you violate these Terms, engage in abusive behaviour, or use the service in a way that could harm other users or the integrity of the platform.

Zapnin is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not warrant that the App will be available at all times, operate without errors or interruptions, that third-party venue data will be accurate, or that push notifications and SMS messages will always be delivered.

To the fullest extent permitted by law, Pivot & Anchor Pvt Ltd shall not be liable for:

• Plans that do not occur or do not proceed as expected
• Disputes between users, including disputes over shared expenses or UPI payments
• Any indirect, incidental, special, consequential, or punitive damages
• Failure or delay in delivering notifications or SMS messages
• Acts or omissions of third-party services

In no event shall our total liability to you exceed the greater of the amount you have paid us (if any) in the twelve months preceding the claim, or INR 1,000.

You agree to indemnify, defend, and hold harmless Pivot & Anchor Pvt Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of your use of the App, your User Content, your violation of these Terms, or your infringement of any third-party rights.

If you download the App from the Apple App Store, you acknowledge that these Terms are between you and Pivot & Anchor Pvt Ltd only, and not with Apple. Apple has no obligation to provide support or maintenance for the App. Apple is not responsible for any product warranties or claims relating to the App, including product-liability, legal-or-regulatory, and intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.

If you download the App from Google Play, your use is also subject to the Google Play Terms of Service.

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve the dispute through good-faith discussion for a period of at least 30 days.

Zapnin operates as an intermediary as defined under Section 2(1)(w) of the IT Act and claims protection under Section 79 of the IT Act, as it does not initiate the transmission of, select the receiver of, or modify the User Content transmitted through the App. We comply with the applicable intermediary guidelines.

We may modify these Terms at any time. For material changes, we will update the “Last updated” date and notify you through the App; your continued use constitutes acceptance. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pivot & Anchor Pvt Ltd regarding the App and supersede all prior agreements.
